PT Lippo Cikarang Tbk (“the Company”) was first established under the name PT Desa Dekalb, based on Deed of Establishment No. 43 July 20, 1987 made before Hendra Karyadi SH, Notary in Jakarta. In 1988 the name was changed to PT Gunung cermai Inti based on Deed No. 63 dated April 22, 1988. The Deed of Establishment was ratified by the Minister of Justice of the Republic of Indonesia in Decree Number: C2.4701.HT.01.01-Th’88 dated May 30, 1988 and announced in the State Gazette of the Republic of Indonesia No. 94 dated November 23, 1990 Adding to State News No. 4719.

In 1992, the Company changed its name to PT Lippo City Development based on Deed No. 157 dated March 20, 1992 made before Rachmat Santoso, SH, Notary in Jakarta, which was approved by the Minister of Justice of the Republic of Indonesia in Decree Number: C2-3553.HT.01.04.TH.92 dated March 12, 1992 and was announced in the News Republic of Indonesia No. 75 of 18 September 1992 Supplement to State Gazette No. 4557. In 1995, the Company changed its name to PT Lippo Cikarang based on Deed No. 2 on 1 September 1995 which was made before Ny. Liliana Arif Gondoutomo S.H., Notary in Jakarta, which has been approved by the Minister of Justice of the Republic of Indonesia in Decree Number: C2.13.880 HT.01.04.Th.95 dated 31 October 1995 and has been announced in the State Gazette of the Republic of Indonesia No. 19 March 5, 1996 Supplement to State Gazette No. 2321 and become PT Lippo Cikarang Tbk based on Deed No. 95 dated April 21, 1997 made before Mrs. Poerbaningsih SH, Notary in Jakarta, which has been approved by the Minister of Justice of the Republic of Indonesia in Decree Number C2-3190 HT.01.04.Th.97 dated 29 April 1997 and has been announced in the State Gazette of the Republic of Indonesia No. 54 dated July 8, 1997 Supplement to State Gazette No. 2691.

Since its establishment, the Company’s Articles of Association have been amended several times. Amendment to the Company’s Articles of Association concerning adjustments to Law No. 40 of 2007 concerning “Limited Liability Companies” contained in Deed No. 38 dated August 8, 2008, which was made before Ny. Poerbaningsih Adi Warsito, S.H. The amendment to the Company’s articles of association has been approved by the Minister of Justice of the Republic of Indonesia in Decree Number AHU-83894.AH.01.02.TH.2008 dated November 11, 2008 and has been announced in State Gazette of the Republic of Indonesia No. 13 February 13, 2009 Supplement to State Gazette No. 4557.

After that, the Company also readjusted the Company’s Articles of Association with the Financial Services Authority Regulation No.32 / POJK.04 / 2014 concerning Plans and Organizing of a Public Meeting of Shareholders of the Public Company, No. 33 / POJK.04 / 2014 concerning Directors and Board of Commissioners of Issuers or Public Companies, No. 34 / POJK.04 / 2014 concerning the Nomination and Remuneration Committee of Issuers or Public Companies which is contained in Deed No. 233 dated May 19, 2015, made before Lucy Octavia Siregar, S.H., Sp.N, Notary in Bekasi Regency. The amendment to the Company’s Articles of Association has been approved by the Minister of Law and Human Rights in Decree Number AHU-AH.01.03-0941262 dated June 15, 2015.

The Company’s Articles of Association have been amended several times, most recently the Company has readjusted the Regulation of the Head of the Central Statistics Agency Number 19 of 2017 concerning Amendments to the Regulation of the Head of the Central Statistics Agency Number 95 of 2015 concerning the Standard Classification of Indonesian Business Fields contained in Deed No. 38 dated April 18, 2019, made before Engineer NANETTE CAHYANIE HANDARI ADI WARSITO, Bachelor of Law, Notary in Jakarta, which deed was approved by the Minister of Law and Human Rights of the Republic of Indonesia with his letter number: AHU-0021235.AH.01.02.TAR 2019 dated 189 April 2019 and Deed No. 44 dated July 23, 2019 made before the Engineer NANETTE CAHYANIE HANDARI ADI WARSITO, Bachelor of Law, Notary in Jakarta, the amendment was received and recorded in the Legal Entity Administration System of the Ministry of Law and Human Rights of the Republic of Indonesia based on the Letter of Notification to Amendment to the Articles of Association number: AHU-AH.01.03 -0303719 dated July 25, 2019.

Our Business

  1. The Company’s Business Activities Based on Article 3 Deed No. 38 dated 18 April 2019 made before NANETTE CAHYANIE HANDARI ADI WARSITO Engineer, Law Bachelor, Notary in Jakarta, The Company’s aims and objectives are to move in the field of Real Estate; Industrial area; Professional, Scientific and Technical Activities; Construction; Transportation; Trading; Water Management, Waste Water Management, Waste Management and Recycling, and Remediation Activities; Employment Activities and Other Business Supports.

  2. To achieve the aims and objectives above, the Company can carry out the main business activities as follows:
    (a) conduct business in the Real Estate sector, including but not limited to:

    i. Self-Owned or Leased Real Estate, which covers the construction, purchase, sale, leasing and operation of real estate owned or leased, such as apartment buildings, residential buildings and non-residential buildings (such as exhibitions, storage facilities, private, malls, shopping centers, hospitals, conference halls, houses of worship, hotels, sports facilities, and supporting advice, including but not limited to golf courses, clubs, restaurants, entertainment venues, medical laboratories, pharmacies, and their facilities, office buildings , carries out parking, supporting facilities and others) and the provision of houses and flats or apartments with or without furniture to be used permanently, either monthly or annually. Including land sales, real estate trading (including the sale and purchase of residential buildings, office buildings, hospital buildings, shopping centers, hotel buildings, apartment units, condominiums, office spaces, shopping centers), both directly or indirectly through the inclusion (investment) or release (divestment) of capital in other companies in connection with real estate activities, urban development, development of buildings for self-operation (for leasing spaces in the building), the distribution of real estate into plots of land without land development and operation of residential areas for movable houses.

    ii. Industrial Estate, which is a company which controls a minimum of 50 (fifty) hectares of land in an area which is used as a place of concentration of industrial activities that is equipped with supporting facilities and infrastructure developed and / or controls the land. Including the exploitation of Industrial Estate land for Micro, Small and Medium Enterprises, a minimum of 5 hectares in one stretch.

    (b) conduct business in the fields of Professional, Scientific and Technical Activities, including but not limited to Other Management Consultancy Activities, which include provision of advice, business guidance and operational assistance and other organizational and management issues, such as strategic and organizational planning; financial decisions; marketing objectives and policies; human resource planning, practices and policies; production scheduling and control planning. The provision of these business services can include advisory assistance, guidance and operational management functions, agronomist and agricultural economic management consultancy in agriculture and the like, design of accounting methods and procedures, cost accounting programs, budget monitoring procedures, provision of advice and assistance for business and community services in planning, organizing, efficiency and supervision, information management and others.

  3. To achieve the aims and objectives above, as well as to support the main business activities of the Company mentioned above, the Company can carry out supporting business activities as follows:

    (a) conduct business in the Construction sector, including but not limited to:
    (i) Other Building Construction, which covers the business of building construction used for places of worship, terminals / stations, monumental buildings, airport buildings, warehouses and others. Including other building changes and renovation activities.

    (ii) Residential Building Construction, which covers the business of building buildings used for dwelling, such as residential houses, apartments and condominiums. Including the construction of buildings for dwellings that are carried out by real estate companies with the aim to be sold and activities to change and renovate residential buildings.

    (iii) Office Building Construction, which covers the business of building construction used for offices, such as offices and office houses (offices). Including the construction of buildings for offices that are done by real estate companies with the aim to be sold and the activities of changing and renovating office buildings.

    (iv) Shopping Building Construction, which includes building construction businesses that are used for shopping, such as malls, department stores, shops, shop houses and stalls. Including the construction of shop houses that are carried out by real estate companies with the aim to be sold and the activities of changing and renovating shopping buildings.

    (b) conducting business in the field of Transportation, including but not limited to Other Transported Bus Transfers, which includes transportation of passengers using other transport buses that are not classified elsewhere, such as operating shuttle buses.

    (c) conduct business in the areas of Water Management, Waste Water Management, Waste Management and Recycling, and Remediation Activities, including but not limited to:
    (i) Collection, Purification and Distribution of Drinking Water, which includes the business of taking water directly from springs and ground water and purifying surface water from water sources and direct drinking water distribution from water terminals through pipelines, water trucks (from tank trucks) it is still under the administrative management of the water company) to be sold to consumers or customers, such as households, government agencies / institutions / agencies, social agencies, state-owned enterprises, private companies / businesses including hotels, processing industries and shops.
    (ii) Management and Disposal of Non-Hazardous Wastewater, which includes the operation of sewage systems or non-hazardous wastewater treatment facilities; treatment of non-hazardous wastewater (including industrial and household wastewater, water from swimming pools etc.) through channels through physical, chemical and biological processes such as dilution, filtering and sedimentation and others. This group also includes activities for the management and cleaning of non-hazardous sewerage and sewerage.
    (iii) Collection of Non-Hazardous Wastewater, which includes collection and transportation of industrial wastewater or non-hazardous household wastewater through channels from the sewerage network, waste water collection and other transportation facilities (sewage / sewage transport vehicles). This group also includes the desludging and cleaning of septic tanks (pit latrines), tanks and sewage / sewerage pits; waste water collection from chemical toilets (eg portable toilets, airplane toilets, train toilets).
    (iv) Collection of non-hazardous waste, which includes the collection of non-hazardous solid waste in an area, for example the collection of household and business waste using bins, wheeled bins, garbage containers and others which include a mixture of materials that can recovery, collection of recyclable materials, collection of used cooking oil and grease and collection of rubbish from bins in public places. This also includes the collection of construction and demolition of buildings, the collection and cleaning of debris or debris, the collection of rubbish from textile factories and the operation of garbage removal posts for non-hazardous waste.

    (d) conduct business in the field of Manpower Activities and Other Business Support Services, including but not limited to Private Security Activities, which include business services for investigation, supervision, safeguarding and activities or protection for personal safety and property. These include patrolling activities, such as escorting on a trip carrying valuables, bodyguards, road patrols, guarding buildings, offices, factories, hotels and so on, fingerprint investigations, signatures and handwriting.
