Lippo Cikarang at a Glance

PT Lippo Cikarang Tbk (“the Company”), was initially established in 20 July 1987 under the name PT Desa Dekalb, based on the Deed No. 43 drawn up before Hendra Karyadi SH, public notary in Jakarta. In 1988, there was a change in name to PT Gunung cermai Inti following the Deed No. 63 dated 22 April 1988 and was acknowledged by the Minister of Justice of the Republic of Indonesia in the Decree No. C2.4701.HT.01.01-Th’88 dated 30 May 1988 and was declared within the State Gazette of the Republic of Indonesia No. 94 dated 23 November 1990, Supplement to the State Gazette of the Republic of Indonesia No. 4719.

In 1992, the Company renamed itself to PT Lippo City Development based on Deed No. 157 dated 20 March 1992 drawn up before Rachmat Santoso SH, public notary in Jakarta, where it has obtained approval from the Minister of Justice of the Republic of Indonesia in the Decree No. C2-3553.HT.01.04.TH.92 dated 12 March 1992 and was declared in the State Gazette of the Republic of Indonesia No. 75 dated 18 September 1992, Supplement to the State Gazette of the Republic of Indonesia No. 4557. The name PT Lippo Cikarang came into use in 1995 following the Deed No. 2 dated 1 September 1995 of Liliana Arif Gondoutomo SH, public notary in Jakarta where it has been approved by Minister of Justice of the Republic of Indonesia in the Decree No. C2.13.880.HT.01.04.TH.95 dated 31 October 1995. It was published in the State Gazette of the Republic of Indonesia No. 19 dated 5 March 1996, Supplement to the State Gazette of the Republic of Indonesia No. 2321 and became PT Lippo Cikarang Tbk based on the minutes of the extraordinary deed No. 95 dated 21 April 1997 of Poerbaningsih, SH., public Notary in Jakarta where it has been approved by Minister of Justice of the Republic of Indonesia in the Decree Number C2-3190 HT.01.04.Th.97 dated April 29, 1997 and published in the State Gazette of the Republic of Indonesia No. 54 dated July 8, 1997, Supplement to the State Gazette of The Republic of Indonesia No. 2691.

Since its establishment, the Company’s Articles of Association went through several amendments. The amendment of Articles of Association regarding Limited Liability Company in accordance with Law No. 40 of 2007, contained in the Deed No. 38 dated 8 August 2008, drawn up before Poerbaningsih AdiWarsito SH. The amendment has gained approval from the Minister of Law and Human Rights of the Republic of Indonesia following the Decree No. AHU-83894.AH.01.02.TH.2008 dated 11 November 2008 and was declared in the State Gazette of the Republic of Indonesia No. 13 dated 13 February 2009, Supplement to the State Gazette No. 4557.

The Company’s has subsequently amended its Articles of Association to comply with Regulation of the Financial Services Authority No. 32/POJK.04/2014 on the Plan and Implementation of the General Meeting of Shareholders of the Public Company, No. 33/POJK.04/2014 on the Boards of Directors and Boards of Commissioners of Issuers or Public Companies, No. 34/POJK.04/2014 on the Nomination and Remuneration Committees of Public Companies as set forth under the Deed No. 233 dated 19 Mei 2015, drawn up before Lucy Octavia Siregar SH, SpN, public notary in Bekasi Regency. The Amendment has been approved by the Minister of Justice and Human Rights of the Republic of Indonesia in the Decree No. AHU-AH-01.03-0941262 dated 15 June 2015.

Our Business

The Company’s activities in accordance with Article 3 No. 233 dated 19 May 2015, drawn up before Lucy Octavia Siregar, SH, SpN, public notary in Bekasi Regency are as follows:

  1. The company’s purpose and objective is to do business in real estate, industrial estate, urban development, develop ready-to-build area, as well as businesses in industrial, publishing, mining, plantation, agriculture, marine/inland fishery, livestock, conveyance, warehouses, and forestry.
  2. In order to achieve the above purpose and objective in Article 1, the Company’s may undertake the following business:
    • To operate businesses in real estate, industrial estate, and urban development by executing customary activities done by a real estate and urban development company with a priority on the following activities:
      – To conduct release/purchase, processing, maturation, containment, soil dredging and excavation, to build facilities and infrastructure, to plan and construct residential, office, and industrial buildings, as well as supporting facilities, including but not limited to, golf fields, clubs, restaurant, and other entertainment centers along with its facilities, to sell, to rent, and to manage above activities;
    • To develop in ready-to-build area;
    • To build environmental infrastructure system and its management;
    • To build and manage public facilities;
    • To operate and run every service that is related and support the above activities, including transport, security service and other related services, with the exclusion of law and taxation sectors;
    • To establish and run business in industrial, publishing, mining, plantation, agriculture, marine/inland fishery, livestock, conveyance, warehousing and forestry sector
